The procedure for a proper Colorado LLC
registration is set forth in The Colorado Limited
Liability Company Act which was enacted in 1990.
Every since 1994, Colorado permits a limited liability
company to have only one member (known as a single
member LLC). And there is no maximum number of
members as well. Accordingly, it can have as few as one
or as many members as it desires.
The registration process is initiated by the preparation
and filing of a set of documents known as the Articles
of Organization. The laws set forth the specific
information and appointments that are required to be
completed as part of that filing.
The threshold decision for any business owner
establishing a new LLC in Colorado is to arrive at a
name for the legal entity that is available for use in
the state. In addition to the name, each limited
liability company must have a registered office and a
registered agent appointed to accept service of process
papers on behalf of the business.
Generally, a Colorado LLC can conduct any lawful
business permitted by law; however, there are some
limitations under other areas of the law. For
example, insurance trade and business may not be
performed through a Colorado LLC and some professions
may prohibit the practice of such professions through an
LLC. If you are a licensed professional, you
should check with your licensing agency.
Once a Colorado LLC registration filing is submitted to
the state, they make a determination about whether the
name is acceptable, the business purpose is allowed and
the other requirements for the filing have been met.
Once everything has been properly processed and
confirmed to be in conformance with state law, the state
issues a formation certification and the LLC is
typically acknowledged as formed with a formation date
dating back to the submission of the filing. If you want
a later formation date, you can designate a formation
date (not more than 90 days after filing) in the Article
of Organization.
